Zimbabwe Companies and Other Business Entities Act [Chapter 24:31]

For Companies Registered in Zimbabwe – 2025

1. Company Registration Requirements

Certificate of Incorporation available and valid
CR6 (List of Directors) filed and up-to-date
CR14 (Registered Office) filed and current
Company name prominently displayed at registered office
Note: All companies must register with ZIMRA for tax purposes within 30 days of incorporation

2. Director Requirements

Minimum of 1 director (private company) or 2 directors (public company)
Director disclosure of conflicts of interest
Director indemnity and insurance arrangements in place
Register of directors maintained and up-to-date

3. Shareholder Requirements

Requirement Compliance Deadline
Register of members maintained Ongoing
Annual return of shareholders filed Within 42 days of AGM
Share certificates issued Within 2 months of allotment

4. Financial Reporting

Annual financial statements prepared in IFRS format
Financial statements audited (if required)
Tax clearance certificate obtained annually
Accounting records retained for 6 years

5. Annual Compliance

Annual General Meeting (AGM) held within 6 months of FYE
Annual return filed with Registrar of Companies
PAYE, VAT, and other tax returns filed
CSR report prepared (for large companies)

6. Corporate Governance

Board meetings held at least quarterly (minutes maintained)
Proper delegation of authority documented
Related party transactions properly approved
Whistleblower policy in place

7. Record Keeping

Register of members maintained
Register of directors maintained
Register of charges maintained
Minutes of all meetings kept for 10 years

8. Changes and Updates

Changes to directors notified within 14 days
Changes to registered office notified within 14 days
Changes to share capital notified within 30 days
Special resolutions filed within 15 days
